The Managing Counsel will work as a team member and independently to provide legal support to the Finance and Treasury teams. The Managing Counsel will provide legal advice in connection with the structuring and execution of Finance transactions.  In addition, the Managing Counsel will assist in general commercial and corporate matters. The Managing Counsel will be expected to deliver timely and quality legal services to clients; manage inside and outside legal resources effectively and develop strong relationships in a hard-working, fast-moving and ever-changing business environment.  The Managing Counsel will be forward-thinking and front-facing to internal clients and commercial counterparties and will be involved in a significant number of transactions.


Managing Counsel will have experience working in a large sophisticated law firm and/or in-house energy practice with significant financial/commercial transactional experience.

  • Support a variety of corporate transactional functions.
  • Draft, negotiate and interpret a wide variety of financing agreements, commercial contracts and related agreements with clients and third parties.
  • Manage other day-to-day legal and business projects as necessary.
  • Support commercial initiatives and management of outside counsel as appropriate.
  1. Education:  Bachelor’s and JD degree with strong academic credentials. 
  2. Experience:  At least twelve (12) years of experience with a top law firm or sophisticated in-house practice with significant transactional expertise in the energy sector including corporate and project finance experience.
  3. Skills/Competencies:
  • Understanding of MLP structure.
  • Strong interpersonal skills and the ability to effectively interact with all levels within the organization, including senior management.

  • Ability to think critically, solve problems independently and exercise excellent judgment and common sense.

  • Exceptional oral and written communication and legal research skills.

  • Highly organized and detail-oriented.
  • Well-grounded, preferring to work in a collegial and team environment.

  • Strong business acumen coupled with exceptional analytical skills.

  • Ability to effectively work with and manage outside counsel.

  • Presence and maturity.
  • Self-starter.
  • Impeccable ethics.

Operates independently within approved guidelines, and with minimum supervision; delivers pertinent information in a timely manner to superiors and to management.

  • Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others. 
  • Business requirements may frequently necessitate that work be performed from home, after normal work hours or on weekends.
  • Business requirements may include periodic travel.
  • Subject to drug and alcohol testing, per applicable federal regulations or as required by Cheniere.
